1. By participating in the Quidax P2P Merchant Challenge, you are agreeing to these terms and conditions (the “Terms”).
2. The Quidax P2P Merchant Challenge is being run by Quidax Technologies Limited (Quidax).
3. All terms, provisions, and conditions – including any modification, addition, removal, alteration, reconstruction – in the Terms and Conditions of Use available on Quidax’s website are hereby incorporated into these Terms with the same force and effect as though fully set forth herein.
4. The Terms and Conditions of Use and these Terms together shall be construed as one and the same. Where the Terms and Conditions of Use are inconsistent with these Terms, the provisions of the Terms and Conditions of Use shall prevail.

Eligibility to Enter

• General Terms

1. The Quidax P2P Merchant Campaign is open to Merchants and Traders who have completed sign up on the Quidax P2P platform and who have used or wish to use the Quidax P2P platform. All participants must be 18 years of age and above.
2. You agree that your participation in the Quidax P2P Merchant Campaign is at your sole option, discretion, and you understand the risk involved in cryptocurrency trading. You participate at your sole option and discretion and understand the risks of cryptocurrency and P2P trading. Quidax does not provide investment advice.
3. The Quidax P2P Merchant shall run every day for 30 days, from Wednesday, 1 October 2025 through Friday, 31 October 2025. 
4. In entering the challenge, you confirm that you are eligible to do so and eligible to claim any prize you may win. The Quidax P2P Merchant Campaign is conditional on the Terms contained herein.

1. Only Merchants on the Quidax P2P platform are eligible to participate in the campaign.
2. Quidax or its affiliates and staff members are not eligible to participate in the campaign.

• Merchants

1. In addition to the foregoing, to participate as a Merchant, you are required to have an active/approved Merchant status on Quidax at the time of participation.
2. As a Merchant, you are required to meet all the campaign entry eligibility criteria throughout the campaign window. To meet the criteria, Merchants are required to: 
   1. Pass quality gates: minimum fulfilment rate ≥ 95%, Dispute Rate < 2% (measured on campaign trades), and pass fraud/compliance checks.
   2. Hit leaderboard eligibility thresholds published for the campaign (e.g., ≥3 unique completed trades and ≥$100/₦150,000 cumulative volume to appear on the board) and any tier thresholds required for prize categories.
   3. Observe one-board rule: If a user also qualifies as a trader, they will be ranked only on the Merchant board for this campaign.
   4. Timely verification: Provide any additional verification reasonably requested by Quidax (e.g., identity, transaction proofs) within stated timelines.

• Traders

1. In addition to the foregoing, to participate as a Trader, you are required to trade on Quidax P2P in their personal account.
2. As a Trader, you are required to meet all the campaign entry eligibility criteria throughout the campaign window. The meet the criteria, Traders are required to:
   1. Satisfy entry eligibility (all points above) throughout the campaign window;
   2. Meet leaderboard eligibility thresholds for Traders: ≥3 unique completed trades and ≥$50 (₦75,000) cumulative volume within the campaign window (or as otherwise published for the campaign);
   3. Pass quality gates measured on campaign trades:
      1. Fulfilment Rate ≥ 95% (completed / (completed + canceled/expired initiated by participant));
      2. Dispute Rate < 2%;
      3. Pass fraud/compliance checks (including device/IP/related-party screening);
   4. One-board rule: If a user also qualifies as a Merchant (has Active/Approved Merchant status or meets merchant-board criteria), they will be ranked only on the Merchant board and excluded from the Trader board.
   5. Timely verification: Provide any additional verification reasonably requested by Quidax (e.g., identity, transaction evidence) within the specified timelines.

How to Enter

1. All Merchants are required to have an active account on Quidax for the campaign duration.
2. Quidax will not accept responsibility if the contact details provided are incomplete or inaccurate, or if the user fails to complete sign-up and verify their account.
3. Quidax may request additional information or documentation from you to verify your identity or eligibility. We reserve the right to verify entries and take corrective action where abuse is suspected. Failure to provide such information within the specified time may result in disqualification.
4. The decision of Quidax regarding any aspect of the competition is final and binding and no correspondence will be entered into or entertained about it.

The Prize

A. Merchants

1. Merchants who meet the campaign entry eligibility criteria would qualify to enter a raffle draw where 20 merchants will be selected to share a prize pool and a special badge. Winners are determined per the published leaderboard scoring and tier thresholds for the campaign after a final fraud/compliance audit at campaign end.
2. The prizes are as follows:
   1. Prize Pool: 20,000 QDX or $2,600 pool (shared among the first 20 qualifying merchants) based on the below table.
   2. Special Recognition: A “Founding Member Badge” with applicable benefits.
   3. The first 10 merchants to complete the criteria will receive a share of the prize pool, Quidax merch and the badge. The last 10 get just Quidax merch.

B. Traders

1. Traders who meet the campaign entry eligibility criteria would qualify to enter a raffle draw where 20 traders will be selected to share a prize pool. Winners are determined per the published leaderboard scoring and tier thresholds for the campaign after a final fraud/compliance audit at campaign end.
2. The prizes are as follows:
   1. Prize Pool: 10,000 QDX or $1,300 pool (shared among the first 20 qualifying traders) based on the below table:

C. General

1. Prizes are paid in USDT or QDX  to the winner’s Quidax wallet within 5 business days after winners are confirmed. Taxes, if any, are the winner’s responsibility.
2. Quidax reserves the right to substitute this incentive with another incentive of equal value if circumstances beyond our control make it necessary to do so.
3. The decision of Quidax regarding any aspect of the campaign is final and binding, and no correspondence will be entered into or entertained about it.

Data Protection and Publicity

1. By trading on Quidax during the  Quidax P2P Merchant Campaign, you consent to any personal information you provide as well as trading information being used by Quidax for the purposes of administering and marketing the Quidax P2P Merchant Challenge, and for those purposes as defined within our Privacy Policy.
2. All entrants may apply for details of the winning participants by contacting us at [email protected].
3. The winner(s) agrees to the use/release of their full name, Quidax username, picture and other information that may be requested by Quidax. 
4. All personal information shall be processed in accordance with Quidax Privacy Policy.

Limitation of Liability

1. Quidax does not accept any liability for any damage, death, loss, injury or disappointment suffered by any entrants as a result of either participating in this campaign, save that Quidax does not exclude its liability for death or personal injury as a result of its own negligence. 
2. Quidax does not provide any form of practical or IT support for the all competitions. Use of the Quidax website or app during any  Quidax P2P Merchant Campaign is governed additionally by its Terms and Conditions.
3. Quidax does not provide any form of financial support or advice for participants in this campaign. You are advised to do your own research before entering and/or while participating in this campaign.
4. Quidax does not guarantee the continued availability of the Campaign or its uninterrupted operation. Quidax is not responsible for any technical issues which may affect your ability to participate or receive rewards. 

General

1. Quidax reserves the right to cancel the Campaign or amend these terms and conditions at any time, without prior notice.
2. The Campaign and related materials do not constitute financial, investment, or legal advice. Consult your own advisors before making decisions involving digital assets.
3. The competition and these terms and conditions will be governed by Nigerian law and any disputes will be subject to the exclusive jurisdiction of the courts of Nigeria. 
4. You are responsible for complying with any applicable taxes on rewards you receive. Please seek legal advice on your tax obligations. You are responsible for ensuring participation is lawful in your location.
5. Only on-platform escrowed trades count. Off-platform trades, related-party/self trades, circular trading, or manipulation are prohibited and may result in disqualification.
6. Quidax may withhold or revoke prizes for breach of these Terms, suspicious activity, or failure to pass compliance checks.

Prohibited Conduct and Termination

1. Participants are required to act with integrity and fairness when engaging in the Campaign. One natural person = one Quidax account. No shared, automated, bot, duplicate, or proxy accounts.
2. Quidax may monitor trading behavior using its systems, and reserves the right to audit any trading activity and require additional information from participants at any time.
3. Quidax reserves the right to immediately suspend or terminate any Participant from the Campaign at any time at its sole discretion where it suspects that a Participant has breached any applicable laws, regulations or the Terms and Conditions of Use of Quidax.
4. Participants who have participated in other Quidax promotional or reward Campaigns may not be eligible for this Campaign and Quidax reserves the sole discretion to determine eligibility and may disqualify any Participants without prior notice.
